Terms of Service

1. Who We Are

Intentgine is an Intent-as-a-Service API platform operated by Neural Core LTD, a company registered in England and Wales. Throughout these terms, "we", "us", and "our" refer to Neural Core LTD trading as Intentgine. "You" and "your" refer to you, the user of our service.

By creating an account or using our API, you agree to these terms. If you do not agree, please do not use the service.

2. The Service

Intentgine provides an API for intent resolution, text classification, and related natural language processing capabilities. The service uses large language models (LLMs) and AI technologies to process requests.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where possible.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately if you suspect unauthorised access.

We may suspend or terminate accounts that violate these terms or that we reasonably believe are being used fraudulently.

4. API Usage & Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract the underlying models or algorithms
• Transmit malicious code, attempt to gain unauthorised access, or interfere with the service's infrastructure
• Resell or redistribute the service without our written consent
• Exceed rate limits or abuse the API in a way that degrades service for other users
• Use the service to generate content that is illegal, harmful, or violates third-party rights

All usage is subject to our Fair Use Policy.

5. Pricing, Billing & Payment

Usage is measured in requests. Pricing is displayed on our website and may change with reasonable notice. Subscriptions auto-renew unless cancelled before the renewal date. Usage is subject to our Fair Use Policy.

You are responsible for all charges incurred under your account. If payment fails, we may suspend access until the balance is resolved. All fees are non-refundable unless otherwise stated or required by law.

6. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

We may cancel or suspend your account if you breach these terms, with notice where reasonably practicable.

7. AI & LLM Disclaimer

Our service uses artificial intelligence and large language models provided by third-party providers to process your requests. You acknowledge and agree that:

• AI-generated outputs are probabilistic in nature and may be inaccurate, incomplete, inconsistent, or unsuitable for your intended purpose
• The same input may produce different outputs across requests due to the non-deterministic nature of language models
• We do not warrant the accuracy, reliability, completeness, or fitness for purpose of any AI-generated output
• You are solely responsible for evaluating, validating, and testing outputs before relying on them in any application, workflow, or production system
• You shall not use AI-generated outputs as the sole basis for decisions that may have legal, financial, medical, or safety implications without independent human review

The service is provided as a tool to assist your applications. We expressly disclaim all warranties, whether express, implied, or statutory, relating to the quality, accuracy, or suitability of AI-generated outputs, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

8. Your Data

You retain ownership of the data you send to our API. We process your data solely to provide the service. We do not use your API request data to train models unless you explicitly opt in.

9. Intellectual Property

All rights in the Intentgine platform, API, documentation, branding, and underlying technology belong to us. These terms do not grant you any rights to our intellectual property beyond what is necessary to use the service.

You retain ownership of your content, including Memory Banks and toolset configurations you create.

10. Limitation of Liability

To the maximum extent permitted by law, Neural Core LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

Without limiting the foregoing, we shall not be liable for any loss, damage, or claim arising from or related to:

• Inaccurate, incomplete, or unexpected AI-generated outputs, including incorrect intent resolution, misclassification, or erroneous parameter extraction
• Decisions made or actions taken in reliance on AI-generated outputs
• Changes in behaviour or availability of third-party AI model providers
• Variations in output quality across different model versions or providers

Our total liability for any claim arising from these terms or the service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Service Availability

We aim to keep the service available and performant, but we do not guarantee uninterrupted or error-free operation. We are not liable for downtime caused by maintenance, third-party service failures, or events beyond our reasonable control.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or through the service. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
